MaxChef Terms of Service
Last updated: October 12, 2026
These Terms and Conditions (the “Terms”) govern your access to and use of MaxChef (also called Chef), a project control plane operated by MaxPoints LLC, doing business as MaxPoints (“MaxPoints,” “we,” “us,” or “our”). Chef includes our websites, project directory, dashboards, boards, APIs, packages, command-line and coding-worker software, AI-assisted features, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms, our Privacy Policy, and our AI Disclaimer. If you do not agree, do not use the Services.
Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you use Chef for a company, team, client, or other organization, you represent that you are authorized to accept these Terms and act on its behalf.
Accounts, teams, and security
You agree to provide accurate account information, protect your password, worker credentials, access tokens, and device authorization codes, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account and credentials to the extent permitted by law.
Project owners and team administrators are responsible for inviting the right people, assigning appropriate roles and project access, and promptly removing access that is no longer needed. You may not impersonate another person, misrepresent your affiliation, or access another account, team, project, repository, or system without authorization.
Projects and visibility
Chef lets you create and manage projects, reusable blueprints, repositories, boards, tickets, checklists, comments, attachments, suggestions, analytics, captured errors, and related project information. You control whether a project is public or private and which team members can access it.
Information associated with a public project may be visible to anyone, including its name, description, status, website link, tasks, and community suggestions or votes where the applicable feature makes them public. Do not place confidential information, credentials, or private source code in a public project or other public-facing field.
Coding workers and automated actions
When you enable or authorize a local or cloud coding worker, you instruct Chef to act on project tasks using the repositories, attachments, integrations, environments, and permissions you make available. Depending on your configuration and task instructions, a worker may read files, run commands and tests, install dependencies, change source code, create and push branches, open pull requests, and participate in approval and merge workflows.
Some project settings can automatically approve and merge completed work. A merge may cause a connected deployment provider to deploy the change without a separate action in Chef. You are responsible for reviewing task instructions, repository protections, validation commands, approval settings, integration permissions, and proposed changes at a level appropriate for your project. Maintain independent backups and do not give a worker access to systems or data beyond what it needs.
Automated and AI-assisted actions can be incomplete, inaccurate, insecure, or different from what you intended. You remain responsible for evaluating outputs and for decisions, code, deployments, and other actions taken through your account. Additional limitations are described in our AI Disclaimer.
Membership, project plans, and payments
MaxNova Membership and individual project subscriptions are separate purchases. Membership alone does not purchase a build, hosting, a domain, or AI usage. Benefits depend on eligibility, service readiness, and the limits disclosed for each service.
A project plan is $19 per month per project, billed monthly, with no membership required, or for active MaxNova members $468 per year per project ($39 per month), billed yearly. There is no setup charge and no minimum term. The plan includes hosting and a cloud worker for that project and renews at the end of each billing period until canceled. Membership is $20 per year and renews yearly; a non-member who chooses yearly project billing buys the membership in the same checkout, on the same subscription as the project. Domain registration, AI provider usage, and additional services are charged separately. Prices are before tax. An alternative offer applies only if expressly identified in your order.
Before payment, review the order for scope, included resources, currency, taxes, renewal frequency, and cancellation terms. You authorize the recurring charges you expressly accept at checkout. Cancel through the billing controls for the relevant subscription or request assistance through the contact details below. Canceling membership does not cancel a project subscription, and canceling a project does not cancel membership or a domain renewal.
You may cancel a project plan at any time. Cancellation takes effect immediately: hosting and the cloud worker for that project stop, and we refund the unused part of the billing period you last paid for, calculated pro rata by time to the payment method you used. A membership bought together with a yearly project plan ends with that plan and its unused part is refunded the same way. A membership bought on its own and one-time purchases such as domain registrations are not refundable except where the law requires. These Terms do not impose an undisclosed early-termination fee or remove mandatory refund or cancellation rights. We will give notice of material price or renewal changes before they apply and obtain consent where required.
Each account may start one project with a paid trial: $1 today for 7 days, with no membership required. When the 7 days end, the project plan renews automatically at the monthly rate shown at checkout (currently $19 per month per project) and is charged to the payment method you used, then renews monthly until canceled. Cancel before the trial ends and you are not charged the monthly rate; as with any cancellation, hosting and the cloud worker stop right away and the unused part of the $1 is refunded pro rata by time. During the trial, 100 MaxChef AI credits are included for the whole trial, measured as described in the MaxChef AI section below; once they are used, MaxChef AI pauses for the rest of the trial unless you buy a credit pack, and it resumes with your monthly credits when the paid plan begins. Project Settings shows the date the trial ends and the date of the first monthly charge.
A free trial redeemed with a promo code runs for 14 days from redemption and includes 100 MaxChef AI credits for the entire trial, regardless of how many calendar months it spans. MaxChef AI pauses for the rest of the trial once they are used, unless you buy a credit pack, and again when the 14 days end, until you add a card or start a paid plan. Unused trial credits do not carry over, have no cash value, and are not refundable.
Other MaxNova services
A shared MaxAuth account can connect participating MaxNova services, but each service has its own scope, permissions, eligibility, and terms. Signing in does not purchase a subscription or authorize every connected action. The terms for another service apply when you use that service; your accepted order controls its specific scope and billing commitments.
Launch projects, hosting, and project data
When you submit a launch brief, you authorize Chef and the workers you enable to use it and the assets you provide to build the agreed project. You must either connect the required repository and AI accounts or choose MaxChef AI and MaxChef GitHub, and have verified paid entitlement before work can start. AI usage on your own accounts and third-party accounts remain subject to their provider terms and charges. No build completion date or business outcome is guaranteed unless expressly agreed.
Hosting and cloud worker capacity are limited to the accepted plan. Domain purchase and renewal are separate from connecting DNS and verifying a project URL. Canceling a project or membership does not automatically cancel domain renewals or provider accounts. Before ending a project, export the repositories and data you need and review any resources that may continue to incur charges.
MaxChef AI and MaxChef GitHub (all-in-one)
Instead of connecting your own AI account, you may choose MaxChef AI. Chef's cloud workers then use AI accounts held by MaxPoints, and each AI call they make for your projects is measured and recorded to your account at the amount the AI provider charges us for it at its published prices. MaxChef AI is paid for with credits: one credit equals $0.05 of that provider cost. Each calendar month (UTC) your account includes 100 credits at no charge; unused monthly credits do not carry over. You may buy more in packs of 100 credits for $10.00 (tax may be added), charged once when you buy them. Bought credits are used only after the month's included credits, do not expire while your account is open, have no cash value, cannot be transferred, and are not refundable except where the law requires. When your included and bought credits are used up, MaxChef AI pauses until you buy credits or the next month's credits arrive; a call already running when they run out may use slightly more, which is taken from your next credits. We do not bill you afterwards for MaxChef AI usage. Your task board and Billing page show your credits and usage. Monthly MaxChef AI bills for months before October 2026 remain payable as they were issued. You may switch back to your own AI account at any time, and bought credits stay on your account. Platform administrators are not charged.
You may also choose to have new project repositories kept in MaxChef's GitHub organization at no charge. Those repositories are private, named and labeled as customer repositories, and reached by Chef only with access limited to your own repositories. You own your project code as described in these Terms, and you may ask us to transfer a repository to a GitHub account you control. Repositories created before you chose MaxChef GitHub stay where they are.
Connected services
You may connect Chef to third-party services such as GitHub, Vercel, OpenAI, and realtime, hosting, database, or storage providers. By connecting a service, you authorize MaxPoints and the workers you enable to exchange project information and take requested actions within the access you grant. You represent that you have the necessary rights and permissions to make that connection.
Third-party services are governed by their own terms and policies. MaxPoints does not control and is not responsible for their content, security, availability, changes, or charges. You are responsible for reviewing permissions, protecting credentials, and revoking access you no longer want Chef or a worker to have.
Packages and legal templates
Chef may offer optional packages that add project tasks, code, configuration, analytics, error reporting, or template content. You are responsible for reviewing a package and the resulting changes before relying on or deploying them.
Legal policies, disclaimers, and similar materials made available through Chef are general templates, not legal advice, and do not create an attorney-client relationship. Laws and project practices differ. You are responsible for customizing those materials, confirming that they accurately describe your project, and obtaining advice from a qualified attorney when needed.
User content
You retain ownership of content and information you submit or make available through the Services, including project data, task instructions, chat messages, prompts, files, attachments, feedback, and repository content (“User Content”). You represent that you own or have the rights necessary to provide User Content and authorize the actions you request, and that doing so will not violate any law, contract, or third-party right.
You grant MaxPoints a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, support, and improve the Services, follow your instructions, comply with law, and enforce these Terms. This license lasts only as long as necessary for those purposes, subject to reasonable backup and legal-retention periods.
MaxPoints intellectual property
The Services and the software, designs, text, graphics, logos, documentation, and other materials provided by MaxPoints (“MaxPoints Content”) are owned by MaxPoints or its licensors and are protected by intellectual property and unfair competition laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purposes.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, create derivative works from, or otherwise exploit MaxPoints Content except as expressly permitted by us in writing, by an applicable open-source license, or by law. Nothing in these Terms transfers ownership of MaxPoints intellectual property to you.
Acceptable use
You agree not to use the Services to:
- violate any applicable law, contract, or third-party right;
- access or modify a repository, project, account, system, or data without authorization;
- submit unlawful, infringing, deceptive, defamatory, abusive, obscene, or harmful content;
- develop, distribute, or deploy malware or other harmful code;
- interfere with or circumvent the security, integrity, access controls, or operation of the Services;
- expose another person’s credentials, personal information, confidential information, or source code without permission;
- send spam or use workers or integrations to make abusive or unauthorized requests;
- scrape, harvest, or collect data except as expressly permitted by us or applicable law; or
- use the Services in a way that could harm MaxPoints, our users, third parties, or their systems.
Service changes and termination
We may modify, suspend, restrict, or discontinue all or part of the Services. We may suspend or terminate access if you violate these Terms, create risk or possible legal exposure, or use the Services in a way that could harm MaxPoints, our users, or others. Where reasonably practicable, we will provide notice of a material suspension or discontinuation. Provisions that by their nature should survive termination will remain in effect.
Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING WORKER ACTIONS, AI OUTPUTS, AND TEMPLATE CONTENT, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MAXPOINTS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR THEIR OUTPUTS WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, ERROR-FREE, OR SUITABLE FOR YOUR PROJECT OR LEGAL REQUIREMENTS.
Some jurisdictions do not allow certain warranty disclaimers, so some exclusions may not apply to you. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MAXPOINTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, CODE, CREDENTIALS, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations do not apply to liability that cannot be limited or excluded under applicable law. Your use of the Services is at your own risk, and you are responsible for the information, permissions, configurations, and instructions you provide and the decisions and actions you take based on the Services.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless MaxPoints and its officers, directors, employees, contractors, affiliates, successors, and agents from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your User Content, your misuse of the Services, your violation of these Terms or applicable law, your infringement of another person’s rights, or actions you direct a worker or integration to take. MaxPoints may assume control of the defense of a matter subject to indemnification, and you agree to cooperate with that defense.
Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, and by applicable federal law, including the Federal Arbitration Act where applicable.
Before starting formal proceedings, you and MaxPoints agree to attempt in good faith to resolve the dispute informally for at least 30 days after one party gives the other written notice. Notices to MaxPoints must be sent to 18121 E Hampden Ave Unit C #1244, Aurora, CO 80013.
If the dispute is not resolved informally, it will be resolved by binding arbitration on an individual basis, except that either party may bring an eligible claim in small claims court or seek injunctive relief for actual or threatened infringement or misuse of intellectual property. The arbitration will take place in Colorado, or remotely if the arbitrator permits, under the Colorado Uniform Arbitration Act and applicable federal law. Each party will be responsible for arbitration fees only to the extent permitted by applicable law and the rules selected by the arbitrator.
Waiver of class actions
To the fullest extent permitted by law, you and MaxPoints agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim must be resolved by a court of competent jurisdiction and not in arbitration.
Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will revise the last-updated date and provide notice of material changes before they take effect, with additional consent where required by law. Changes do not retroactively alter accepted charges or resolve an existing dispute on new terms. Continued use after the stated effective date constitutes acceptance only to the extent permitted by law.
General terms
These Terms, together with the Privacy Policy and AI Disclaimer, constitute the entire agreement between you and MaxPoints regarding the Services and supersede prior or contemporaneous communications on that subject. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; MaxPoints may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
